SC: Fraudulent Diversion of Company Funds Cannot be Validated by Later Shareholder Ratification - (18 Mar 2026)

Supreme Court ruled that diverting funds raised via preferential allotment for undisclosed purposes constitutes fraud under securities law and cannot be rectified through later shareholder ratification.
